MANAGEMENT DISCUSSION AND ANALYSIS REPORT

Gita Renewable Energy Limited is engaged in generation of power from renewable sources (25 Wind mills and 10 MW Waste heat recovery power plant)and the opportunities and threats available for the company are briefiy provided below:

India has ambitious targets for renewable energy growth. The Government of India has announced an unbrcedented policy push and states are providing the necessary infrastructure. In light of changing economic scenario and due to increasing competitive environment in power sector and poor generation of power from wind mills, the operation of wind mills is not commercially viable. Thus the Management proposes sale of wind mills with the consent of members' approval. Further the management finding to revive the company better in the future with economic and industrial growth.

Disclosure Statement of particulars of remuneration as per Rule 5(1)of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014:
