Preferential Issue of shares & Inter alia, to consider and approve the following matters; 1) To consider proposal for raising of funds through issuance of equity shares or any other equity linked instruments or securities including convertible preference shares/fully or partially convertible debentures or by way of composite issue of non-convertible debentures and warrants entitling the warrant holder to apply for equity shares/ or any other eligible securities through inter-alia a private placement or through one or more Qualified institutions Placement or further public issue of debt or equity securities/preferential issue or Right issue or through any other permissible mode and or combination thereof as may be considered appropriate in accordance with the provisions of the Securities and Exchange Board of India (Issue of Capital and Disclosures Requirements) Regulations, 2018 ; 2) The Board will consider and decide the issue size and issue price; 3) The Board accordingly may seek necessary approval from the members of the company as per the provisions of the Companies Act, 2013 and rules framed thereunder and such further other permissions, sanctions and statutory approvals as may be required and applicable to the said issues and finalize any members meeting and do such acts and deeds as deem fit and proper; | 4) To consider and discuss any other items as may be decided by the Board of Directors of the Company.
